TERMS OF USE AND CONFIDENTIALITY AGREEMENT
Acceptance of Terms
The Terms of Use and Confidentiality Agreement govern your access and use of the documents available in the Allied Trust Center. By accessing the documents in the Trust Center, you agree to abide by the terms below and represent and warrant that you are retrieving the information for a Legitimate Business Purpose.
Definitions
“Confidential Information” means all information provided through the Trust Center which is marked “confidential” and concerns Allied Solutions’ business, finances, or operations. The term “Confidential Information” does not include information which (i) is or becomes generally available to the public other than as a result of disclosure in breach of this Agreement by you; (ii) was available to you on a non-confidential basis prior to disclosure by us; or (iii) becomes available to you on a non-confidential basis from a source other than by us, provided that such source is not known by you to be prohibited from transmitting the information by a contractual, legal, fiduciary, or other obligation.
“Legitimate Business Purpose” means your evaluation of Allied Solutions’ business operations for the purpose of utilizing our products or services.
“Person" means any corporation, company, entity, partnership, individual, or governmental entity or body.
“Us”, “our”, or “we” refers to Allied Solutions, LLC.
“You” or “your” refers to the person accessing the documents in the Trust Center.
Agreement
You agree that you will keep all Confidential Information confidential and will not, without the prior written consent of Allied Solutions, disclose Confidential Information to any Person except as provided herein. You agree that you will only disclose Confidential Information to those who need to know such information for a Legitimate Business Purpose and who shall be advised by you of the confidential nature of such information. You shall be responsible for any breach of this Agreement by your actions or the actions of those with whom you share Confidential Information.
You agree that you will not use Confidential Information for any commercial or competitive purpose. You agree that if you are employed by a competitor of Allied Solutions, LLC, you will not access the Confidential Information.
You agree to maintain reasonable information security policies and procedures that include administrative, technical, and physical safeguards designed to ensure the security and confidentiality of Confidential Information, protect against anticipated threats or hazards to the security or integrity of Confidential Information, protect against unauthorized Access to Confidential Information, and ensure the secure transmission of Confidential Information.
We make no representation or warranty, express or implied, with respect to any Confidential Information. You agree to destroy the Confidential Information upon written request by us for any reason.
You acknowledge that unauthorized disclosure of Confidential Information would result in irreparable harm to us, the extent of which would be difficult to ascertain, and in any event, money damages would be inadequate in the event of such a breach. Without limiting any other rights and remedies, we shall be entitled to seek an injunction or other equitable relief against you if you have breached or threatened to breach this Agreement.
Our waiver of a breach or right under this Agreement will not constitute a waiver of any other or subsequent breach or right. The rights and obligations set forth under this Agreement shall remain in effect as long as the Confidential Information is in your possession.
YOUR USE OF THE TRUST CENTER IMPLIES YOUR CONSENT TO THIS AGREEMENT. IF YOU DO NOT CONSENT TO THIS AGREEMENT, DO NOT ACCESS THE TRUST CENTER.
